These terms govern your use of the Strata Properties | DXBi platform. Your investment in any individual asset is governed additionally by that asset's subscription and shareholder agreements, which prevail over this page where they differ.

1. Who we are
Strata Properties DXBi Asset Management Ltd (“Strata”, “we”) operates this platform from Dubai, United Arab Emirates. Regulated activity is conducted under the applicable DFSA framework. Contact: hello@dxbi.com.
2. Eligibility
You must be at least 21 years old and legally capable of entering binding contracts. You must complete our KYC, sanctions and source-of-funds checks before investing. We may decline or discontinue any account at our discretion, including where a jurisdiction restricts access to this type of offering.
3. What the platform does
The platform presents property investment opportunities, administers subscriptions, and provides reporting on holdings. We do not provide investment, legal or tax advice, and nothing on the platform is a personal recommendation. Target returns, yields and valuations are estimates based on stated assumptions, not guarantees.
4. Your account
You are responsible for the security of your credentials and for the accuracy of the information you give us, including bank details used for distributions. Notify us immediately of any unauthorised access. We may suspend an account where we suspect fraud, misuse or a breach of these terms.
5. Investing and escrow
A commitment becomes binding when you sign the subscription documents for that asset. Funds are held in a segregated client escrow account and released to the seller only once the raise is fully subscribed and compliance has verified all documentation. If a raise does not complete, subscriptions are returned in full without interest.
6. Ownership and distributions
You acquire shares in the special purpose vehicle that holds the property; you do not hold the title deed personally. Distributions are net rent after the expenses published in the SPV’s monthly ledger, paid pro-rata to shareholding. Distributions may be reduced, delayed or suspended where rent is not collected, where capital works are required, or where the SPV must retain reserves.
7. Secondary market
Listings must be priced within ±10% of the most recent independent NAV. Buyers must be KYC-verified platform investors. We facilitate and document the transfer and update the shareholder register; we do not guarantee that a buyer will be found, at any price or within any timeframe. Liquidity is not assured.
8. Fees
Platform fees applicable to each asset are disclosed on its listing before you commit and are not varied retrospectively for existing holdings. Property-level costs are settled from rent and appear in the published ledger.
9. Liability
We provide the platform with reasonable skill and care but do not warrant uninterrupted availability or that third-party information, including valuations and tenant disclosures, is free of error. To the extent permitted by law, we are not liable for investment losses, loss of profit, or indirect or consequential loss. Nothing here limits liability for fraud or where liability cannot lawfully be excluded.
10. Governing law
These terms are governed by the laws of the Dubai International Financial Centre, and the DIFC Courts have exclusive jurisdiction. We may update these terms; material changes are notified by email at least 30 days before they take effect.
